General Terms and Conditions of Business (GTC) of the Cherubim Foundation:
Section 1 Name, Registered Office, and Legal Form
(1) The organization is named Cherubim Foundation.
(2) The Foundation is a non-profit organization (non-profit/NGO) in accordance with the relevant legal provisions of the Republic of Zambia, in particular the Non-Governmental Organizations Act No. 16 of 2009.
(3) The organization's registered office is in Lusaka, Republic of Zambia, unless otherwise decided by the Board of Directors.
Section 2 Non-Profit Status and Purpose
(1) The Cherubim Foundation pursues exclusively and directly charitable, benevolent, and non-profit purposes, in particular:
Supporting people in need
Promoting social, health, and educational programs
Implementing aid projects and development initiatives
(2) The Foundation's funds may only be used for the charitable purposes stipulated in its statutes.
Section 3 Decision-Making Authority
(1) Christian David Borchers is the sole decision-maker, managing director, and highest-ranking person responsible for the Cherubim Foundation.
(2) He makes all strategic, operational, and financial decisions.
(3) No action of the organization may be implemented without his prior consent and approval.
Section 4 Financial Management and Signing Authority
(1) All donation accounts, project accounts, and financial resources of the Foundation are under the sole control and management of Christian David Borchers.
(2) Every expenditure, disbursement, or transfer of funds of the Cherubim Foundation requires the handwritten signature of Christian David Borchers.
(3) Any financial transaction without his signature is expressly prohibited.
Section 5 Arrangements in Case of Illness or Temporary Incapacity
(1) Should Christian David Borchers be temporarily incapacitated due to illness or other circumstances, the following arrangements shall apply:
His wife, Salome Borchers, shall be granted power of attorney to sign on his behalf.
Financial transactions also require the approval and countersignature of Pastor Jacob Daka, who acts as an independent spiritual advisor and oversight body.
(2) During this period, Salome Borchers is authorized to make decisions within the scope of ordinary administration, but not to implement fundamental strategic changes.
Section 6 Provisions in the Event of Christian David Borchers' Death
In the event of Christian David Borchers' death, the following permanent succession arrangement applies:
(1) Salome Borchers assumes full operational and financial responsibility for the Cherubim Foundation.
(2) Any financial transaction by Salome Borchers will continue to require the written approval of Pastor Jacob Daka until the Foundation's Board of Directors decides otherwise or until a will or other succession arrangement has been filed.
(3) This transitional arrangement remains in effect until a new Board of Directors or new management is confirmed in accordance with Zambian NGO law.
Section 7 Transparency and Accountability
(1) The Cherubim Foundation is committed to full transparency towards Zambian authorities and donors. (2) Annual financial statements, project reports, and expenditure reports are documented and submitted in accordance with Zambian legal requirements.
Section 8 Liability
(1) The foundation is liable only with its own assets.
(2) The persons acting on behalf of the foundation are liable only within the scope of the applicable legal provisions of the Republic of Zambia.
Section 9 Amendments to the Terms and Conditions
(1) Amendments to these Terms and Conditions may only be adopted by Christian David Borchers.
(2) Amendments take effect immediately upon written documentation.
(3) After his death, the provisions of Section 6 shall apply.
Section 10 Severability Clause
Should any provision of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a provision that most closely approximates the original purpose and is legally permissible.
Section 11 Applicable Law
All legal relations shall be governed exclusively by the law of the Republic of Zambia.
Allgemeine Geschäftsregeln / Geschäftsbedingungen (AGB) der Cherubim Foundation:
§ 1 Name, Sitz und Rechtsform
(1) Die Organisation trägt den Namen Cherubim Foundation.
(2) Die Foundation ist eine gemeinnützige, nicht gewinnorientierte Organisation (Non-Profit / NGO) gemäß den einschlägigen gesetzlichen Bestimmungen der Republik Sambia, insbesondere dem Non-Governmental Organisations Act No. 16 of 2009.
(3) Sitz der Organisation ist Lusaka, Republik Sambia, sofern durch den Vorstand nichts Abweichendes beschlossen wird.
§ 2 Gemeinnützigkeit und Zweck
(1) Die Cherubim Foundation verfolgt ausschließlich und unmittelbar gemeinnützige, wohltätige und nicht gewinnorientierte Zwecke, insbesondere:
Unterstützung von Bedürftigen
Förderung sozialer, gesundheitlicher und bildungsbezogener Programme
Durchführung von Hilfsprojekten und Entwicklungsmaßnahmen
(2) Die Mittel der Foundation dürfen ausschließlich für die satzungsgemäßen gemeinnützigen Zwecke verwendet werden.
§ 3 Entscheidungsbefugnisse
(1) Christian David Borchers ist der alleinige Entscheidungsträger, geschäftsführende Leiter und oberste verantwortliche Person der Cherubim Foundation.
(2) Er trifft alle strategischen, operativen und finanziellen Entscheidungen.
(3) Keine Maßnahme der Organisation kann ohne seine vorherige Zustimmung und Genehmigung umgesetzt werden.
§ 4 Finanzverwaltung und Zeichnungsberechtigung
(1) Alle Spendenkonten, Projektkonten sowie finanzielle Mittel der Foundation unterliegen der alleinigen Kontrolle und Verwaltung von Christian David Borchers.
(2) Jede Ausgabe, Auszahlung oder Überweisung von Mitteln der Cherubim Foundation erfordert eine eigenhändige Unterschrift von Christian David Borchers.
(3) Eine finanzielle Verfügung ohne seine Unterschrift ist ausdrücklich nicht zulässig.
§ 5 Regelung im Krankheitsfall oder bei vorübergehender Handlungsunfähigkeit
(1) Sollte Christian David Borchers krankheitsbedingt oder aufgrund sonstiger Umstände vorübergehend nicht handlungsfähig sein, tritt folgende Vertretungsregelung in Kraft:
Seine Ehefrau Salome Borchers erhält die zeichnungsberechtigte Vollmacht.
Finanzielle Verfügungen bedürfen zusätzlich der Zustimmung und Gegenzeichnung von Pastor Jacob Daka, der als unabhängige geistliche Vertrauens- und Kontrollinstanz fungiert.
(2) Salome Borchers ist in diesem Zeitraum autorisiert, Entscheidungen im Rahmen der gewöhnlichen Verwaltung zu treffen, jedoch nicht, grundlegende strategische Änderungen vorzunehmen.
§ 6 Regelung im Todesfall von Christian David Borchers
Im Todesfall von Christian David Borchers gilt folgende dauerhafte Nachfolgeregelung:
(1) Salome Borchers übernimmt die volle operative und finanzielle Verantwortung der Cherubim Foundation.
(2) Jede finanzielle Verfügung durch Salome Borchers bedarf weiterhin der schriftlichen Zustimmung von Pastor Jacob Daka, solange der Vorstand der Foundation nichts Neues beschließt oder bis eine testamentarische Nachfolgeregelung hinterlegt wurde.
(3) Diese Übergangsregelung bleibt gültig, bis ein neuer Vorstand oder eine neue Leitung gemäß sambischem NGO-Recht bestätigt ist.
§ 7 Transparenz und Rechenschaftspflicht
(1) Die Cherubim Foundation verpflichtet sich zur vollständigen Transparenz gegenüber sambischen Behörden und Spendern.
(2) Jahresabschlüsse, Projektberichte und Spendenverwendungen werden dokumentiert und gemäß den gesetzlichen Vorgaben in Sambia vorgelegt.
§ 8 Haftung
(1) Die Stiftung haftet ausschließlich mit ihrem eigenen Vermögen.
(2) Die handelnden Personen haften nur im Rahmen der geltenden gesetzlichen Bestimmungen der Republik Sambia.
§ 9 Änderungen der AGB
(1) Änderungen dieser Geschäftsregeln können ausschließlich von Christian David Borchers beschlossen werden.
(2) Änderungen treten sofort nach schriftlicher Dokumentation in Kraft.
(3) Nach seinem Tod gelten die Regelungen gemäß § 6.
§ 10 Salvatorische Klausel
Sollten einzelne Bestimmungen dieser AGB unwirksam sein oder werden, bleibt die Gültigkeit der übrigen Bestimmungen unberührt. Anstelle der unwirksamen Bestimmung gilt eine Regelung, die dem ursprünglichen Zweck am nächsten kommt und rechtlich zulässig ist.
§ 11 Geltendes Recht
Für alle Rechtsbeziehungen gilt ausschließlich das Recht der Republik Sambia.
